Terms of Service

Atlas KnowledgeBase is an AI-powered knowledge management platform. Users upload documents, which are processed by large language models (LLMs) to generate organized wiki pages. These pages can be consumed by humans via a web interface or by AI agents via the Model Context Protocol (MCP). The Service includes document ingestion, wiki generation, MCP server hosting, analytics, and related features.

You must be at least 18 years old and have the legal capacity to enter into these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

You are responsible for maintaining the confidentiality of your account credentials, including API tokens and MCP access URLs. You are responsible for all activity under your account. Notify us immediately of any unauthorized use.

Ownership. You retain all rights to the documents, files, and data you upload to the Service (“Your Content”). We do not claim ownership of Your Content.

License to Us. By uploading Your Content, you grant us a limited, non-exclusive, worldwide license to process, store, and transform Your Content solely for the purpose of providing the Service to you. This includes sending Your Content to third-party AI model providers (e.g., Anthropic) for processing. This license terminates when you delete Your Content or your account.

Responsibility. You are solely responsible for Your Content. You represent that you have all necessary rights to upload and process Your Content, and that Your Content does not violate any law, regulation, or third-party right.

No Guarantee of Accuracy. Wiki pages and other outputs generated by the Service are produced by large language models. AI-generated content may contain errors, inaccuracies, omissions, fabricated information (“hallucinations”), or misinterpretations of source material. You must review all AI-generated content before relying on it.

No Professional Advice. AI-generated content does not constitute legal, medical, financial, engineering, or any other professional advice. Do not use AI-generated content as a substitute for qualified professional judgment.

Your Responsibility. You are solely responsible for any decisions or actions taken based on AI-generated content. We disclaim all liability for consequences arising from reliance on AI-generated output.

The Service may allow you to provide your own API keys for third-party AI model providers (“BYOK”). When using BYOK:

• You are responsible for all charges incurred on your third-party API key.
• We store your API key encrypted at rest and use it solely to make API calls on your behalf.
• You are responsible for complying with the third-party provider’s terms of service.
• We are not liable for any charges, rate limits, or account actions taken by the third-party provider.

The Service provides MCP (Model Context Protocol) endpoints that allow AI agents to read wiki content. You are responsible for:

• Controlling who has access to your MCP URLs and API tokens.
• All activity conducted through your MCP endpoints, including by third-party agents.
• Revoking tokens that may have been compromised.

MCP URLs are currently unscoped and provide read access to the entire wiki they are configured for. Treat them as sensitive credentials.

You agree not to:

• Upload content that is illegal, defamatory, or infringes third-party rights.
• Upload malware, viruses, or other harmful code.
• Attempt to access other users’ data or accounts.
• Interfere with or disrupt the Service or its infrastructure.
• Use the Service to build a competing product.
• Circumvent usage limits, rate limits, or billing controls.
• Use the Service for any purpose that violates applicable law.

Certain features of the Service require a paid subscription. By selecting a paid plan, you agree to pay all applicable fees as described at the time of purchase. Fees are billed in advance on a recurring basis (monthly or annually) via Stripe.

Metered Usage. Some features (e.g., ingestion volume, API calls) may be metered. Usage exceeding your plan’s limits may result in additional charges or temporary restriction of the Service.

Refunds. Payments are non-refundable except where required by applicable law. You may cancel your subscription at any time; access continues until the end of the current billing period.

Price Changes. We may change pricing with 30 days’ notice. Continued use after the effective date constitutes acceptance.

We take reasonable measures to protect Your Content, including encryption in transit (TLS) and access controls. However, no system is perfectly secure.

Third-Party Processing. Your Content is sent to third-party AI model providers (currently Anthropic) for processing. These providers have their own data handling policies. By using the Service, you consent to this processing. We recommend you review Anthropic’s usage policies.

Secret Detection. The Service includes automated scanning for potential secrets (API keys, passwords, tokens) in uploaded files. Files flagged as containing secrets are quarantined. If you override this protection and force-ingest a flagged file, you accept full responsibility for any exposure of sensitive credentials.

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

The Service, including its design, code, features, and documentation (excluding Your Content and AI-generated output), is owned by the Company and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or brand features.

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

We do not warrant that: (a) the Service will be uninterrupted or error-free; (b) AI-generated content will be accurate, complete, or reliable; (c) defects will be corrected; or (d) the Service is free of viruses or harmful components.

To the maximum extent permitted by applicable law, the Company and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of the Service, regardless of the theory of liability.

Our total aggregate liability for all claims arising out of or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100).

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party right.

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. You may terminate your account at any time by contacting us.

Upon termination: (a) your right to use the Service ceases immediately; (b) we may delete Your Content after a reasonable retention period (currently 30 days); (c) provisions that by their nature should survive termination will survive, including Sections 3, 4, 12, 13, 14, and 17.

We may modify these Terms at any time by posting the revised version on the Service. Material changes will be communicated via email or in-app notice at least 14 days before taking effect. Your continued use after changes take effect constitutes acceptance. If you disagree, stop using the Service.

These Terms are governed by and construed in accordance with the laws of the State of Israel, without regard to conflict of law principles. Any dispute arising from these Terms or the Service shall be resolved exclusively in the competent courts of Tel Aviv-Jaffa, Israel.

• Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Company regarding the Service.
• Severability. If any provision is found unenforceable, the remaining provisions remain in full force.
• Waiver. Failure to enforce any provision does not constitute a waiver.
• Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.
